Instructor Agreement
I. Overview
Herein, Review N Prep will be referenced as "RNP" for the remainder of the Instructor Agreement. Additionally, Instructors will be recognized as the "Instructor," "Teacher," or "you" for the remainder of this document. Once you have been approved as an RNP (Review N Prep) Instructor, you will be obligated to adhere to the following Agreement stated in this Agreement.
II. Instructor Structure
Instructors are independent contractors. Specifically, Instructors are contracting with Review N Prep, LLC Wisconsin USA. Instructors are not considered RNP employees and will not receive any form of benefits or additional compensation for their services. Instructors will be required to adhere to all Federal, State, Foreign and local taxes as necessary for income earned from sales on the RNP Marketplace.
III. Content Responsibility
Instructors are responsible for all the content they submitted to RNP. Content is required to meet the RNP Quality standards listed in section VI of the Instructor Agreement. Instructors either own or have the necessary licenses, rights, consents, permissions, and authority to authorize RNP to use your submitted content as described in this Agreement. The Instructor's content should not infringe or misappropriate any third party's intellectual property rights. Instructors must have the required competence, qualifications, credentials, certifications, experience, expertise, and skill sets to produce quality content and instruction. Instructors must ensure the quality of service that corresponds with the standards of your industry or field.
IV. Warranty
Content that instructors provide to RNP is subject to warranty, quality, refund liabilities. Any content that within 30-days of customer purchase is liable to refund upon request. Additionally, any content deemed illegal, inaccurate, or considered unsaleable by RNP for any reason is subject to refund and removal from RNP. Due to the RNP warranty policy's nature, all payments will be held a minimum of 30-days from the end of the purchase month to ensure funds are available during the warranty period.
V. Account Information
Instructors are required to maintain accurate account information that is provided to RNP at all times. Valid account information is necessary to ensure timely and accurate payment and to ensure accountability regarding the Instructor Agreement. RNP review process involves the accounts are valid and not created by bots or fake users. RNP deserves the right to terminate or pause the account if no valid social media presence is found for the registered instructor. This policy requires that Instructors act fairly and honestly on RNP to ensure a safe buying and selling experience. All Instructors must:

If you receive customer information such as addresses or phone numbers to fulfill orders, you may use that information only to fulfill orders and must delete it after the order has been processed.

VIII. Co-Instructors, Teacher's assistants, and co-created content
RNP is not able to advise on any questions or mediate any disputes between Instructors and co-Instructors or teachers. Revenue share will only be paid out to the primary Instructor's account and not to additional co-instructors, teacher assistants and will not be split by RNP for co-created content. It is your responsibility as an instructor to distribute and resolve any agreements made between instructors, teacher's assistants, and co-created content.
IX. Relationship to Users
Instructors don't have a direct contractual relationship with students, so the only information you'll receive about students is provided through the services. You agree that you will not use the data you receive for any purpose other than delivering your services to those students on the RNP's platform. You won't solicit additional personal data or store students' data outside the RNP platform. You will indemnify RNP against any claims arising from your use of students' data.
X. Anti-Piracy Protection
RNP and associates or third parties work to prevent and eliminate any piracy. As an instructor, you are to ensure that all of your content is original and report anyone who may contribute to any form of piracy. Instructors also authorize RNP and third parties to evaluate and eliminate any piracy.
XI. Price Setting
RNP allows Instructors to set their own prices for their content, but it must meet or exceed the $7.00 minimum per transaction. The site restricts the minimum price to $7.00, but coupons and specials established by RNP may lower courses up to 10% below the $7.00 minimum price point. The established content minimum ensures RNP percentage is enough to cover transaction fees, administrative fees, marketing costs, etc. Additionally, the $7.00 baseline course price enables a level playing field for instructors and emphasizes quality content. Instructors can choose to promote their courses at a discount for a set amount of time. Promotional information is listed in section XIII of the Instructor Agreement. Suppose a student makes a purchase using foreign currency. In that case, RNP will convert the applicable base or promotional price or into the student's applicable currency using a market-based foreign currency conversion rate determined by current rates and executed by Stripe, PayPal, or any other entity RNP chooses to complete financial transactions.
XII. Sales and applicable Transaction Tax
Purchases of a product or service in a country that requires RNP to remit national, state, or local sales or use taxes, value-added taxes (VAT), or other similar transaction taxes; RNP will collect and remit those Transaction Taxes to the competent tax authorities for those sales. RNP may increase the sale price at our discretion, where we determine that such taxes may be due. For purchases through mobile applications, applicable Transaction Taxes are collected by the Google Play and Apple app stores.
XIII. Promotions
RNP offers promotional marketing programs from which Instructors can choose to participate in. Promotions could increase Instructor's revenue potential on RNP by expanding course awareness and by identifying ideal price point(s) for your content. Promotional programs do not require any upfront cost, and you will have the ability to alter promotions for future campaigns, but not to an active campaign. Promotions can include but are not limited to coupons and time-based discounts.
XIV. Instructor Revenue
RNP revenue share model provides Instructors with 70% of the purchase price per transaction. As introductory offer, for new instructors, the revenue share is 90% of the purchase price for first two months and 80% for the next ten months. After one year anniversary, the revenue will be in accordance with our normal revenue sharing model of 70%. The remaining 30% RNP uses for but is not limited to the payment gateway fees, marketing cost, tools, admin fees, infrastructure, charity contribution, etc.
XV. Instructor Payouts
Instructors will receive payments via their PayPal account. Payments will be provided at the end of the following month of purchase in a lump sum for all applicable purchases for the month prior. Instructors must ensure that their RNP marketplace account and PayPal accounts are current and accurate. RNP is not responsible for payout issues from expired or outdated account information.
XVI. Refunds
Students can request a refund from the RNP marketplace if there is a valid issue with the content provided by the Instructor. The refund window is limited to 30-days to protect our instructors from fraud and to ensure timely payouts. Instructors under this Agreement agree that RNP has the right to refund any student within the 30-day purchase window and to deduct funds from the Instructor's account as necessary.
XVII. Trademark Use
Instructors can promote their content using RNP logos under the condition that it does not contain any profanity, nudity, or any other offensive material. Promotions using RNP logos must portray the Instructor and RNP in a positive light. RNP reserves the right to ban instructors from using the RNP logo and the ability to have instructors takedown post containing the RNP logo if deemed inappropriate by RNP.
XVIII. Export Laws, Restrictions, and Sanctions
Instructors ensure that they are not restricted from using the Services under U.S. sanctions or export laws (as an individual. Instructors may not remove, export, or allow the export or re-export of the Services outside the U.S. in violation of any restrictions, laws, or regulations in the U.S. or any other applicable country. Any costs or damages resulting from a breach of the Instructor Agreement shall be born Instructor. Instructors shall indemnify and hold harmless RNP from and against any claim, proceeding, action, fine, loss, cost, and damages arising out of or relating to non-compliance with export control regulations.
XIX. Deleting Your Account
Instructors can delete their accounts at any time. Students who have purchased your content will still see your name and will be accessible to those students as long as RNP deems fit. If you need help or encounter difficulty deleting your account, Instructors should contact RNP at admin@reviewnprep.com.
XX. Updating These Terms
RNP reserves the right in its sole discretion to modify and make changes to the Instructor agreement at any time and does not require notification. Modifications are effective on the day they are posted unless stated otherwise.
XXI. Survival
The following sections shall survive the expiration or termination of these Terms: License to RNP, Relationship to Users, Instructor Payouts, Refunds, Deleting Your Account, and Liability.
XXII. Instructor relationship with RNP
Instructors and RNP agree that no partnership, joint venture, employment, contractor, agency type relationship exists amongst either party. Instructors agree to the structure outlined in section II of this Agreement detailing the structure.
XXII. Liability
Any costs or damages resulting from a breach of the Instructor Agreement shall be born Instructor. Instructors shall indemnify and hold harmless RNP from and against any claim, proceeding, action, fine, loss, cost, and damages arising out of or relating to any non-compliance or non-adherence to the Instructor Agreement.

XXV. Acknowledgment
Instructors herein agree to all of the stated Instructor Agreement stated in this document. By checking this box and digitally signing, Instructors are required to adhere to the RNP Instructor Agreement. RNP reserves the right and has the right to remove practice tests, flashcards, content, suspend payouts, and/or restrict or remove instructors for any reason. RNP reserves the right to terminate instructors and reserves the right to update the Instructor Agreement at any time.
